By accessing or using the website of the Solomon Islands Chamber of Commerce and Industry ("SICCI," "we," "us," or "our"), located at www.solomonchamber.com.sb (the "Website"), or by becoming a member of SICCI, you agree to be bound by these Terms of Service ("Terms").

If you do not agree to all of these Terms, you are prohibited from using the Website and must discontinue use immediately. These Terms constitute a legally binding agreement between you and SICCI.

We recommend that you print a copy of these Terms for future reference.

2. Definitions

• "Member" refers to any individual or organisation that has an active membership with SICCI.
• "User" refers to any person who accesses or uses the Website, whether or not they are a Member.
• "Services" refers to the services provided by SICCI, including but not limited to membership services, events, training, advocacy, and business support.
• "Content" refers to all information, text, graphics, images, videos, and other materials available on the Website.

3. Website Use

3.1 Licence to Use

Subject to these Terms, SICCI grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for personal and lawful business purposes.

4. Membership Terms

4.1 Eligibility

Membership is open to businesses, organisations, and individuals engaged in or supporting commerce and industry in Solomon Islands. SICCI reserves the right to approve or decline membership applications at its discretion.

4.2 Membership Categories

SICCI offers various membership categories with different benefits and fee structures. Full details of membership categories, benefits, and fees are available on our Membership page.

4.3 Membership Fees

• Membership fees are due annually on the anniversary of your membership start date.
• Fees are non-refundable except as required by law or at SICCI's sole discretion.
• Failure to pay fees within 60 days of the due date may result in suspension or termination of membership.
• SICCI reserves the right to adjust membership fees with 30 days' notice to Members.

4.4 Member Obligations

As a Member, you agree to:

• Provide accurate and up-to-date information about your business
• Pay membership fees promptly when due
• Comply with SICCI's Constitution, policies, and Code of Ethics
• Not use SICCI membership to misrepresent your business or deceive others
• Support the objectives of SICCI and the business community

4.5 Membership Benefits

Member benefits are subject to change. SICCI reserves the right to modify, add, or remove benefits with reasonable notice to Members.

5. User Accounts

Some features of the Website may require you to create an account. When creating an account:

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must immediately notify SICCI of any unauthorised use of your account.
• SICCI reserves the right to suspend or terminate accounts that violate these Terms.

6. Intellectual Property

6.1 SICCI Property

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by SICCI or its licensors and are protected by Solomon Islands and international copyright, trademark, and other intellectual property laws.

6.2 SICCI Trademarks

The SICCI name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SICCI. You may not use such marks without the prior written permission of SICCI.

6.3 Restrictions

You may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, or exploit any Content without our express written permission
• Use any data mining, robots, or similar data gathering methods
• Frame or embed our Website without permission
• Remove any copyright or other proprietary notices from our Content

7. User Content

• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use or inability to use the Website
• Any damages arising from unauthorised access to your account

In no event shall SICCI's total liability to you exceed the amount of membership fees paid by you in the twelve (12) months preceding the claim, or SBD 5,000, whichever is greater.

Some jurisdictions do not allow limitations on liability, so some of these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless SICCI and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Website
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any User Content you submit

13. Termination

13.1 Termination by SICCI

SICCI may terminate or suspend your access to the Website and Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

13.2 Termination of Membership

Membership may be terminated:

• By you at any time by providing written notice to SICCI
• By SICCI for non-payment of fees
• By SICCI for breach of these Terms or SICCI's Constitution
• By SICCI if the Member engages in conduct that brings SICCI into disrepute

13.3 Effect of Termination

Upon termination, your right to use the Website and Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitation of liability, and indemnification.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Solomon Islands, without regard to its conflict of law provisions.

You agree that any legal action or proceeding relating to your access to or use of the Website or these Terms shall be brought exclusively in the courts of Solomon Islands located in Honiara. You consent to the jurisdiction of such courts.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact SICCI and attempt to resolve the dispute informally by sending a written notice describing the nature of the claim and the relief sought. SICCI will attempt to resolve the dispute within 30 days.

15.2 Mediation

If informal resolution is unsuccessful, the parties agree to attempt to resolve the dispute through mediation in Honiara, Solomon Islands, before pursuing other legal remedies.

16. Changes to Terms

SICCI reserves the right to modify these Terms at any time. Changes will be effective when posted on the Website with an updated "Last Updated" date.

For material changes, we will provide notice to Members through email or a prominent notice on the Website. Continued use of the Website after changes constitutes acceptance of the modified Terms.
